OpenAI Completes Restructuring, Gives Microsoft 27% Stake

OpenAI is completing its restructuring, transforming the company into a for-profit public benefit corporation, while control remains with the non-profit OpenAI Foundation.
Microsoft strengthens its position as a strategic partner and major shareholder, acquiring 27% of OpenAI Group PBC, valued at $135 billion.
The OpenAI Foundation will hold 26% of the for-profit company, while 47% will be owned by current and former employees and investors.
Microsoft, having invested over $13 billion in OpenAI since 2019, now holds an investment worth $135 billion, representing approximately 27% of the company.
The company is currently valued at $500 billion.
OpenAI has agreed to purchase an additional $250 billion in Azure services, while Microsoft is waiving its right of first refusal as a provider of computing power to OpenAI.
When OpenAI declares that it has achieved Artificial General Intelligence (AGI), its declaration must be verified by an independent committee of experts.
