OpenAI and Microsoft: Stalled Restructuring Talks

Talks between OpenAI and Microsoft regarding OpenAI's corporate restructuring may be delayed to 2026 due to disagreements on key terms. Microsoft wants to maintain access to OpenAI's technology while removing the clause for artificial general intelligence (AGI).
OpenAI is in discussions with Microsoft to reformulate a commercial agreement valid until 2030. An agreement would allow OpenAI to complete restructuring plans, allowing investors to retain shares and unlock a future initial public offering (IPO).
There are outstanding issues regarding Microsoft's access to OpenAI's API. OpenAI is pushing for partnerships with Google and Amazon Web Services, while Microsoft has exclusive rights to host OpenAI's models on the Azure cloud service. The two companies also disagree on Microsoft's future access to OpenAI's intellectual property and the AGI clause.
Microsoft is expected to own 30-35% of OpenAI, in which it has invested over $13 billion. The talks are being conducted by the chief financial officers of the two companies, Sarah Friar of OpenAI and Amy Hood of Microsoft.
Despite the lack of clarity, OpenAI's $8.3 billion funding round in March was oversubscribed multiple times.
